Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Metrique’s web dashboard, mobile application, and API integrations (the “Service”), operated by Clinch Studio (“Metrique”, “we”, “us”, “our”). By creating an account, connecting an Amazon account, or otherwise using the Service, you agree to these Terms.
1.Acceptance of these terms
By using the Service, you confirm that you have the authority to bind the business or organization you represent (“you”, “your”) to these Terms, and that you are at least 18 years old. If you do not agree to these Terms, do not use the Service.
These Terms work together with our Privacy Policy and our Data Security page, which describe how we handle your data and your connected Amazon account in more detail.
2.The Service
Metrique provides operations, inventory, finance, and advertising analytics software for e-commerce sellers, built primarily around Amazon Seller Central and Amazon Advertising data. The Service is delivered as a set of modules (for example finance dashboards, inventory and batch costing, production tracking, order and returns tracking, and advertising analytics) that you access through our web dashboard, mobile application, or API integrations.
We may add, change, or remove features and modules over time as the Service evolves. We’ll do our best to communicate material changes that affect how you use the Service.
3.Early access & cohort program
Metrique is in an early-access phase. We onboard a small, hand-picked cohort of Amazon brands directly with our team rather than offering fully self-serve signup. As part of this:
- Features may change, be added, or be adjusted based on cohort feedback more frequently than in a mature product
- We do not currently offer formal uptime or support-response-time guarantees (a Service Level Agreement) — we work directly with cohort brands on support instead
- Pricing is agreed individually per brand rather than published on a fixed rate card (see our Pricing page)
We will let you know as the Service moves out of early access and these terms change accordingly.
4.Accounts & organizations
To use the Service you create a Metrique account within an organization workspace. You’re responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity that happens under your account.
If you invite other users to your organization, you’re responsible for the roles and permissions you assign them, and for ensuring they’re authorized to access the data you grant them.
5.Connecting your Amazon account
Using most of Metrique requires connecting your Amazon Seller Central and/or Amazon Advertising account through Amazon’s own authorization flow. By connecting your account, you authorize Metrique to access the Amazon data described in our Privacy Policy and Data Security pages, for the sole purpose of providing the Service to you.
You represent that you are the Amazon seller of record, or are authorized by the seller of record, to grant this access. You can revoke Metrique’s access at any time from within Metrique or directly from Amazon Seller Central / Advertising Console.
Your use of the Service must also comply with Amazon’s own applicable policies, including the Amazon Selling Partner API and Advertising API terms and acceptable use policies.
6.Fees & payment
Fees for the Service, where applicable, are agreed directly with you as part of onboarding and set out in a separate order form, agreement, or written confirmation. Unless stated otherwise in that agreement, fees are quoted and payable in Indian Rupees (INR), exclusive of applicable taxes.
If you’re using the Service under a free beta or trial arrangement, we will tell you before any fees begin to apply.
7.Acceptable use
You agree not to:
- Use the Service for any unlawful purpose, or in violation of Amazon’s own terms and policies
- Attempt to access another organization’s data without authorization
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
- Resell, sublicense, or provide the Service to third parties without our written consent
8.Intellectual property
Metrique and its licensors retain all rights, title, and interest in and to the Service, including its software, design, modules, and underlying methodology (such as our costing and margin-calculation engines). These Terms do not grant you any ownership rights in the Service — only a limited right to use it as intended for your business.
You retain all rights to your own business data, including the data synced from your connected Amazon account (see Section 9).
9.Your data
You own the data you provide to the Service and the operational data we sync from your connected Amazon account on your behalf. We process this data as described in our Privacy Policy solely to provide the Service to you — we do not sell it, and we do not use it to train general-purpose or third-party AI models.
You’re responsible for ensuring you have the right to share any data you upload or connect to the Service, and for the accuracy of that data.
10.Disclaimers
The Service is provided “as is” and “as available.” While we work carefully to keep the figures Metrique shows you — margins, costs, inventory levels, and reconciliations — accurate, the Service depends on data supplied by Amazon’s APIs and by you, and we cannot guarantee that data is always complete, current, or error-free.
Metrique is a decision-support tool, not a substitute for your own financial, tax, or legal judgment. You remain responsible for verifying figures used in filings, pricing, or other business decisions before relying on them.
11.Limitation of liability
To the maximum extent permitted by law, Metrique will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including lost profits or lost data, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid us for the Service in the twelve (12) months preceding the claim, or ₹10,000 if you have not paid us any fees.
12.Suspension & termination
You may stop using the Service and close your account at any time by contacting us. We may suspend or terminate your access if you breach these Terms, misuse the Service, or where required to comply with law or Amazon’s policies.
On termination, your access to the Service ends and we handle your data as described in the Data Retention section of our Privacy Policy.
13.Governing law & disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.
14.Changes to these terms
We may update these Terms from time to time, particularly as the Service moves beyond early access. Material changes will be reflected by an updated “Last updated” date above, and where changes are significant, we will provide additional notice (such as an in-app or email notification).
